  • 1. Agreement to Terms and Conditions

    1.1 These Terms and Conditions constitute a legally-binding agreement made between you, whether personally or on behalf of an entity (you) and EAT. SLEEP. YOGA (referred to in these terms as “ESY” – the words “we”, “us”, “our” and similar words also refer to “ESY”), concerning any Retreat purchased from ESY.

    1.2 You agree that by attending a Retreat, you have read, understood, and agree to be bound by these Terms and Conditions.

    1.3 Because we can change these Terms and Conditions from time to time, we do recommend that you print off a copy and keep them safe. The updated version of these Terms and Conditions will be indicated by an updated “Revised” date and the updated version will be effective as soon as it is accessible. You are responsible for reviewing these Terms and Conditions to stay informed of updates.

    1.4 We want and expect you to be delighted with any Retreat purchased from ESY. If you have any complaints, please email us at hello@eatsleepyoga.net and give us the chance to investigate and, if relevant, try to put things right for you.

  • 2. Eligibility

    2.1 To be eligible to purchase and/ or attend a Retreat from ESY you must be 18 years of age or over.

    2.2 If you are booking a Retreat from ESY, you must:

    a. provide your real name, phone number, email address, and other requested information as specified on the ESY Booking Form;

    b. sign and date the ESY Booking Form to confirm that you have read and accepted all the Terms and Conditions outlined on the ESY Website, and

    c. secure the booking by paying the non-refundable deposit via BACS transfer using the ESY account details provided by us.

  • 3. Making a Contract

    3.1 Your email booking through hello@eatsleepyoga.net is a request to purchase a Retreat from ESY. When you are making a booking, the following steps have to take place before a contract is made between us.

    a. Complete the ESY Booking Form

    b. On receipt of your email booking and completed ESY Booking Form, we will email an acknowledgement of your booking request along with the ESY account details to be used by you to make a BACS transfer (“Acknowledgement Email”).

    c. You will have 48 hours from the date and time when the Acknowledgement Email is sent to you in which to secure your booking by paying the deposit via the BACS transfer using the ESY account details provided in that email. Once you have paid a deposit for the Retreat you are guaranteed a place on the Retreat. If your deposit is not paid within the 48 hours we reserve the right to cancel your place on the Retreat.

    d. You will receive an email confirming your booking shortly after we receive payment of your deposit along with an attachment containing a receipt for your payment (“Confirmation Email”).

    e. We accept your booking at the time you receive the Confirmation Email. Nothing that we say or do will amount to any acceptance of your booking until you receive the applicable Confirmation Email, at which point a contract will be made between us unless, before your receipt of the Confirmation Email, we have notified you that we do not accept your booking.

    3.2 We may decline your booking request for any reason, in which case you will receive an email telling you so. If the reason for declining your booking request is because we cannot obtain authorisation of your payment details for any reason, then we may invite you to pay by another method.

  • 4. Prices and Payment

    4.1 The prices for Retreats from ESY will be shown on our Website. We use our best efforts to ensure that the prices of Retreats are correct at the time of being uploaded to the Website. If we discover an error in the price of any Retreat you booked, please see clause 4.2 below for what happens.

    4.2 Although we will endeavour to ensure that all information on our Website is accurate, occasionally errors may occur. This is what happens if we discover an error:

    a. If we discover an error in the description of a Retreat that you have booked, we will let you know and ask whether you wish to continue with your booking or cancel it.

    b. Where the Website showed a price which was too high, we will charge the lower amount when confirming the booking to you with a Confirmation Email.

    c. Where the Website showed a price which was too low, and the pricing error is obvious and unmistakable and could have reasonably been recognised by you as a mis-pricing, we do not have to provide the Retreat to you at the incorrect (lower) price. We will contact you as soon as possible to inform you of this error and we will give you the option of continuing to purchase the Retreat at the correct (higher) price or cancelling your order. We will not process your booking until we have your instructions. If we are unable to contact you using the contact details you provided during the booking process, we will treat the booking as cancelled and notify you in writing.

    4.3 Prices for the Retreat(s) may change from time to time, but changes will not affect any booking which we have already confirmed with a Confirmation Email.

    4.4 We currently accept payment for Retreats by BACS transfer. By placing your booking, you confirm that the bank account that you use to make payment to us is yours and that you have authority to use that bank account.

    4.5 If we are unable to supply the Retreat, we will let you know as soon as possible. We will give you a full refund if we have already taken payment for a Retreat that we can no longer supply.

    4.6 Payment for the Retreat is 12 weeks in advance of the specific Retreat you wish to attend, unless otherwise stated. Late payment (without prior written consent) will result in you losing your booked space on the Retreat and any monies previously paid being lost.

  • 5. Exclusion and Limitation of Liability

    5.1 There are certain liabilities which we cannot exclude by law and nothing in our contract with you excludes or limits our liability for the following things:

    a. death or personal injury caused by our negligence;

    b. fraud or fraudulent misrepresentation; or

    c. any other thing for which we are not legally allowed to limit (or try to limit) our liability or obligations to you.

    5.2 You have certain rights as a consumer, including legal rights relating to Retreats that are faulty or not as described. Our terms already reflect those legal rights and nothing in our contract with you will reduce them. For further information about your legal rights, please contact your local authority Trading Standards Department or Citizens Advice.

    5.3 We will not be responsible or liable for:

    a. any losses related to any business of yours, including loss of data, profits, revenue, business, opportunity, goodwill or reputation, or business interruption; or

    b. any losses which were not something we could have reasonably expected (as consequences of us doing anything wrong under our contract with you) when entering into that contract.

    5.4 We will not be in breach of our obligations under our contract with you if we are prevented or delayed from complying with those obligations by:

    a. anything you (or anyone acting on your behalf) does or fails to do; or

    b. events or circumstances beyond our reasonable control (including fire, flood, extreme weather, bio-emergencies, strikes, trade disputes, lock-outs, restrictions of imports or exports, riot, accident, disruption to energy supplies, civil commotion, acts of terrorism or war).

  • 6. Legal Matters

    6.1 When you purchase a Retreat from ESY, you provide personal details, both for yourself and, if relevant, for other members of your group. By entering personal details for your group members (if any), you are promising (in legal terms, you are warranting) to us that you have their consent to do that.

    6.2 Some laws require that certain information or communications we send to you should be in writing. You agree that communicating with you by email, text message, notices on our Website or other text-based electronic methods counts as communicating with you in writing.

    6.3 If any part of our contract with you is found to be unenforceable as a matter of law, all other parts of that contract are unaffected and will remain in force.

    6.4 Any contract we form with you is personal to you. You may not assign, sub-license or otherwise transfer any of your rights under that contract.

    6.5 Nobody apart from us and the buyer of a Retreat has any rights under this contract.

  • 7. Specific Terms and Conditions for Retreats

    7.1. We must receive payment in full by the date specified on the Website for the specific Retreat you and all members of your party wish to attend. Failure to pay by the date specified, will result in you being taken off the Retreat and losing any monies already paid.

    7.2 Cancellations made less than 12 weeks before the start date of the Retreat, will lose all monies previously paid.

    7.3 We will be entitled to require you to leave a Retreat if in our reasonable opinion you behave in an unacceptable manner. In this case, you will not be refunded for any monies paid.

    7.4 You will be provided with our health and safety rules and other information by email before the Retreat. You and all other members of your party must carefully read the information in that email. If there is anything you do not understand relating to that information, please contact us.

    7.5 We work hard alongside our Retreat Chef to cater for dietary requirements. Please ensure you complete the booking form with all your and your party’s dietary requirements, to ensure that the Chef can tailor the menu to your needs. Failure to submit dietary requirements, will mean that those dietary requirements may not be catered for. If you are unsure of whether a Retreat is suited to your dietary requirements, please contact us.

    7.6 You are advised not to bring any items of special or high value onto our Retreats. We do not accept responsibility for damage to or the loss of any personal possessions.

    7.7 Any resale of or attempt to resell a place will result in your booking for the place(s) being cancelled without notice.

    7.8 You agree and acknowledge that:

    a. an age restriction of 18 years and above apply for all Retreats.

    b. cars parked are entirely at the owner’s risk. No responsibility can be accepted for loss of property or damage to vehicles whilst on site.

    c. When booking a twin room, this room must be occupied by two people. If, for whatever reason one person is unable to attend, we will do our best to move to you to a single occupancy room. If this is not possible you must:

    - Contact ESY as soon as possible, to let them know the change in circumstances

    - Find a replacement within 14 days (if there are more than 14 days before the start of the Retreat)

    - Allow ESY to find a replacement person on your behalf

    - Pay the full amount for the twin room

  • 8. Our Rights to Cancel or Reschedule

    8.1 We may cancel any Retreat due to events or circumstances outside our reasonable control.

    8.2 Although it is rare for us to do so, we may also reschedule any Retreat at any time. We may also change the location or content of any Retreat and/or substitute the instructor (s) for a Retreat for another at any time.

    8.3 If we do cancel, reschedule or make any changes as described in clauses 8.1 and 8.2 above, we will notify you by telephone or by email and will endeavour to do so as soon as possible after making those changes.

    8.4 We will refund you the price of a Retreat you have booked or, if applicable, the affected part of it (for example, the cancelled day) if:

    a. we cancel all or part of the Retreat in accordance with clause 8.1 or, because a change to content of the Retreat under clause 8.2 means that we are no longer able to accommodate your or your attendees’ dietary requirements;

    b. you have informed us at the time of booking of your or your attendees’ special dietary requirements, but we have not notified you that the Retreat you would like to book, is not actually suited to your and/or your attendees’ dietary requirements;

    c. we reschedule or relocate all or part of the Retreat under clause 8.2 and you are or any member of your party is unable to attend as a result of the rescheduling or relocation of the Retreat.

    8.5 We will not reimburse you for any travel or accommodation costs relating to a cancelled, changed or rescheduled Retreat.

  • 9. Your Right to Cancel

    9.1 Our Retreats all involve accommodation, catering and yoga-related services and we hold them on specific dates. The Cancellation Policy for ESY Retreats is stated on the Website and is specific to the dates of each Retreat. As our administrative hours are 09.00 – 17.30, Monday to Friday (excluding public holidays), notice received outside these hours will be treated as received on the next working day.

    9.2 In certain circumstances we permit you to transfer your booking to friends and family members if:

    a. you notify us in writing at least 14 days before the start of the Retreat;

    b. you provide the name and contact details of the person who will be taking your place;

    c. the person taking your place accepts the same accommodation in your original booking and fulfils the eligibility criteria as set out in clauses 2.1 and 2.2 above, and

    d. a £25 administration fee is received for making that transfer.

    9.3 Failure to attend a Retreat without prior notification of cancellation in writing and in accordance with the terms of the Cancellation Policy for the specific Retreat as stated on the Website or leaving during the Retreat will result in a loss of any monies paid.

    9.4 We strongly recommend that you obtain appropriate travel insurance prior to placing a booking for any Retreat to cover you in the event that you cannot attend a Retreat for unforeseen reasons, for example due to bad weather, transport delays or cancellations, illness or bereavement. Some banks automatically provide you with travel insurance cover – please check with your relevant insurance services provider(s) before booking with us.
